Active Action Podcast – Terms and Conditions for Guest Speakers

Welcome to the Active Action Podcast (the “Podcast”), hosted at www.activeaction.fm (the “Website”). These Terms and Conditions (the “Terms”) govern your participation as a guest speaker (“Guest”) on the Podcast. By agreeing to appear on the Podcast, you acknowledge and accept these Terms in full.

1. Voluntary Participation 

1.1. Appearing as a Guest on the Active Action Podcast is completely voluntary.
1.2. The Podcast does not provide monetary compensation or remuneration to Guests.
1.3. By participating, you have the opportunity to promote yourself, your brand, or your product to our diverse listener base.

2. Scheduling and Confirmation

2.1. Potential Guest appearances are subject to paying the Guest Booking Fee (see Section 14), availability and scheduling by the Podcast team.
2.2. Once a date and time are confirmed, Guests are expected to honor that commitment unless otherwise arranged in advance.

3. Recording and Broadcasting

3.1. By appearing on the Podcast, you grant the Podcast the right to record, reproduce, edit, distribute, and broadcast your voice, image, and likeness in both audio and video formats.
3.2. The Podcast reserves the right to use any recorded or livestreamed content from Guest interviews for future use, including but not limited to promotions, marketing, advertisements, and other editorial purposes.

4. Audio and Video Promotion

4.1. The Podcast may produce audio and/or video content featuring your interview.
4.2. Such content may be promoted on the Website, social media platforms, podcast directories, streaming services, and other marketing channels deemed appropriate by the Podcast.
4.3. You acknowledge that these promotions may continue indefinitely, unless otherwise requested in writing and agreed upon by the Podcast.

5. Use of Guest’s Name, Image, and Likeness

5.1. By participating, you consent to the use of your name, image, and likeness in conjunction with Podcast content.
5.2. The Podcast will not use your image or likeness in any manner unrelated to the promotion or content of the Podcast without prior consent.

6. Intellectual Property

6.1. All rights to the Podcast and any related materials, including but not limited to audio recordings, video content, and promotional materials, are owned or licensed by the Podcast.
6.2. Any content you provide to the Podcast (such as slides, images, or other media) remains your property, but you grant the Podcast a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display such content in connection with the Podcast.

7. Remuneration and Guest Benefits

7.1. Guests appear on the Podcast without financial compensation.
7.3 Members-Only Episodes (No Revenue Sharing). If the Podcast designates a Guest’s episode as an exclusive, members-only release for paid members, the Guest will not be entitled to any share of (i) revenue from membership subscriptions or (ii) proceeds from individual product sales (including, without limitation, courses, digital downloads, merchandise, or event tickets) generated by or in connection with that episode. No royalties, residuals, backend, or other payments will be due to the Guest for such members-only distribution.
7.2. As a courtesy for appearing in the podcast, each Guest will receive:

• Opportunity for the guest to promote themselves, their brand, or their product in the podcast, in their blog, and in their personal webpage
• A webpage in the Website to display any information the guest provided in the Join as Guest form, when submitting a guest request. 
• A certificate of appreciation from the Podcast (by email).
• A digital copy of the dedicated promotional banner specific to the episode (by email).
• Only for guests who pay a booking fee: Opportunity for the guest to promote themselves, their brand, or their product in the podcast, in their blog, and in their personal webpage.  
  

8. Guest Conduct and Responsibility

8.1. Guests agree to maintain professionalism and respect during the recording.
8.2. Any content provided by Guests must not infringe on third-party rights or violate any laws.
8.3. Guests are responsible for ensuring that any statements made are accurate and not misleading.
8.4. Guests are strictly prohibited from making defamatory, derogatory, or negative remarks about any individual, organization, profession or entity, whether by explicitly naming them or implying their identity in any manner.
8.5. The Podcast reserves the right to edit, withhold, or remove any content that violates this clause.

9. Confidentiality

9.1. The Podcast may, at times, share non-public information (e.g., recording schedules, unpublished materials) with the Guest.
9.2. Guests agree to keep such non-public information confidential unless given explicit permission to disclose it.

10. Limitation of Liability

10.1. The Podcast, its hosts, and affiliates are not liable for any direct, indirect, or consequential damages related to your participation.
10.2. Guests agree to indemnify and hold the Podcast harmless from any claims arising from their appearance or statements made during the Podcast.

11. Termination

11.1. The Podcast reserves the right to terminate or cancel any Guest appearance at any time, for any reason.
11.2. The Podcast reserves the right, at its discretion, to terminate, cancel, or unpublish any episode with Guest appearance—whether the episode was previously recorded or published—at any time and for any reason.
11.3. If a Guest wishes to withdraw from an appearance, they must provide reasonable notice in writing.

12. Governing Law

12.1. These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction where the Podcast is headquartered, without regard to its conflict of law principles.

13. Modification of Terms

13.1. The Podcast may modify these Terms at any time.
13.2. Any modifications will be effective immediately upon posting on the Website.

By submitting a guest request to appear on the Active Action Podcast, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
